Oslo Børs24/09/2014 – At its meeting on 24 September 2014, the Board of Directors of Oslo Børs resolved to admit the shares in Aker Solutions Holding ASA, Aurora LPG Holding ASA, Scatec Solar ASA and XXL ASA to listing.

Aker Solutions to be listed on Oslo Børs
At its meeting on 24 September 2014, the Board of Directors of Oslo Børs resolved to admit shares in Aker Solutions Holding ASA to listing on Oslo Børs. The Board agreed to exempt the company from the requirement that a listed company must have been in existence for at least three years, cf. Sections 2.3.1 and 2.3.2 of the Listing Rules. This exemption was granted because the company’s business has been in existence for the required time, but has operated through different legal entities. The Board stipulated that, prior to the first day of listing, the company must carry out the demerger from Aker Solutions ASA as set out in the demerger plan approved by the extraordinary general meeting on 12 August 2014. The Board authorised the Chief Executive Officer of Oslo Børs to fix the date of the first day of listing, which is to be no later than 7 November 2014.

Aurora LPG to be listed on Oslo Axess
At its meeting on 24 September 2014, the Board of Directors of Oslo Børs resolved to admit the shares in Aurora LPG Holding ASA to listing on Oslo Axess. The Board stipulated that the company prior to the first day of listing must publish an approved prospectus. The Board authorised the Chief Executive Officer of Oslo Børs to fix the date of the first day of listing, which is to be no later than 7 November 2014.

Scatec Solar to be listed on Oslo Børs
At its meeting on 24 September 2014, the Board of Directors of Oslo Børs resolved to admit the shares in Scatec Solar ASA to listing on Oslo Børs. The Board stipulated that the company prior to the first day of listing must satisfy the requirement for the number of shareholders and the requirement for the spread of share ownership as set out in Section 2.4.2 and 2.4.1 of the Oslo Børs Listing Rules. The Board also stipulates that the company prior to the first day of listing must raise at least NOK 360 million of new capital through its planned primary share issue. The Board authorised the Chief Executive Officer of Oslo Børs to fix the date of the first day of listing, which is to be no later than 7 November 2014.

XXL to be listed on Oslo Børs
At its meeting on 24 September 2014, the Board of Directors of Oslo Børs resolved to admit shares in XXL ASA to listing on Oslo Børs. Admission to listing will be on a conditional basis (“if issued/if sold”) until the second day of listing in accordance with Section 2.5.2 of the Listing Rules. The Board stipulated that the company prior to the first day of listing must satisfy the requirement for the number of shareholders and the requirement for the spread of share ownership as set out in Section 2.4.2 and 2.4.1 of the Oslo Børs Listing Rules. The company must also complete the combination of shares classes to one class of shares and implement the new articles of association as adopted by the extraordinary general meeting on 15 September 2014. The Board authorised the Chief Executive Officer of Oslo Børs to fix the date of the first day of listing, which is to be no later than 7 November 2014.
