Results of the reopening of the takeover bid on CMB made by Saverco

CMB LOGO 21102015CMB and Saverco announce that on 25 November 2015, at the closing of the acceptance period of the reopening of the voluntary public takeover bid in cash made on CMB by Saverco (the “Bid”), a total of 1, 668, 043 shares were tendered into this reopening of the Bid (which represent 4.77% of the total number of shares issued by CMB). As a result, following the effective transfer of ownership of the shares tendered into the reopening of the Bid, Saverco (together with its affiliates) shall hold a total of 33, 479, 326 shares (or 95.66%) in CMB. Together with the persons acting in concert with it, Saverco shall hold a total of 33, 520, 326 shares (or 95.77%) in CMB.

The payment date for the shares tendered into the Bid during the acceptance period of the reopening of the
Bid is scheduled on 1 December 2015.

In accordance with articles 42 and 43 of the Royal Decree on Public Takeover Bids, the Bid is reopened as a
simplified squeeze-out. During this reopening as a simplified squeeze-out, the Bid shall be unconditional. The
acceptance period of the reopening as a simplified squeeze-out starts on 1 December 2015 and closes on
21 December 2015. The payment date of the reopening as a simplified squeeze-out is scheduled on
28 December 2015.

After the close of the acceptance period of the simplified squeeze-out, all shares which were the subject of the Bid which were not tendered in the framework of the simplified squeeze-out, are deemed to have been
transferred to Saverco by operation of law, with consignation of the funds necessary for the payment of the
price to the Deposit and Consignation Office (“Deposito- en Consignatiekas”).
Upon the close of the simplified squeeze-out, the CMB share is automatically delisted from Euronext Brussels.

www.kbc.be/corporateactions). The prospectus and the acceptance form can also be obtained at the counters
of the paying agent banks (Belfius Bank NV, BNP Paribas Fortis NV, KBC Securities NV and KBC Bank NV) or by
telephone.
