The Board of Oslo Børs approves Nordic Nanovector and Team Tankers International for listing

oslo bors25/02/2015 – At its meeting on 25 February 2015, the Board of Directors of Oslo Børs resolved to admit the shares in Nordic Nanovector ASA and Team Tankers International Ltd to listing. At the same time, it was resolved to admit shares in Thin Film Electronics ASA to listing on Oslo Børs as a transfer of listing from Oslo Axess

Nordic Nanovector to be listed on Oslo Børs
The Board of Directors of Oslo Børs resolved to admit shares in Nordic Nanovector ASA to listing on Oslo Børs.

The Board stipulated that the company prior to the first day of listing must publish an approved prospectus.

The Board authorised the Chief Executive Officer of Oslo Børs to determine the date of the first day of listing, which is to be no later than 10 April 2015.

Team Tankers International to be listed on Oslo Børs
The Board of Directors of Oslo Børs resolved to admit shares in Team Tankers International Ltd to listing on Oslo Børs.

The Board agreed to exempt the company from the requirement that a listed company must have been in existence for at least three years, cf. Sections 2.3.1 and 2.3.2 of the Stock Exchange Listing Rules. This exemption was granted because the company’s business has been in existence, but has been carried out by different legal entities.

The Board stipulated that the company prior to the first day of listing must satisfy the requirement for the number of shareholders as set out in Section 2.2.1 and 2.4.2 of the Oslo Børs Listing Rules and must prior to the first day of listing hold a board election as specified in the company’s application for listing. In addition, the Board stipulated that the company must carry out the proposed share exchange offer in connection with redomiciling the company to Bermuda, and therefore continue the business operated by the Eitzen Chemical ASA group.

If the requirement for the number of shareholders is not met, the company will be accepted for listing on Oslo Axess, provided that the listing requirements on Oslo Axess are satisfied.

The Board authorised the Chief Executive Officer of Oslo Børs to determine the date of the first day of listing, which is to be no later than on 10 April 2015.

Thin Film Electronics to be transferred to Oslo Børs
The Board of Directors of Oslo Børs resolved to admit shares in Thin Film Electronics ASA to listing on Oslo Børs as a transfer of listing from Oslo Axess.

The Board agreed to exempt the company from the requirement that the shares for which admission to listing is sought must have an expected market value of at least NOK 10, cf. Section 2.7 (4) and Section 2.4.6 of the Listing Rules for Equities on Oslo Børs, because the company has been listed on Oslo Axess since 2008.

The Board stipulated that prior to the first day of listing the company must publish an approved prospectus summary in accordance with Section 7-2 of the Securities Trading Act.

The Board authorised the Chief Executive Officer of Oslo Børs to determine the date of the first day of listing, which is to be no later than 10 April 2015.
